PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICE.
THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTIONS 15 AND 16 CAREFULLY.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Translate The Teacher ("Company," "we," "us," or "our") regarding your use of our translation service platform and related services (collectively, the "Service").
2. DESCRIPTION OF SERVICE
Translate The Teacher provides real-time translation services for educational purposes, including but not limited to:
- Text-to-speech translation in multiple languages
- Voice cloning and customization features
- Educational content delivery tools
- Account management and usage tracking
3. ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 18 years of age to create an account. If you are under 18, you may only use the Service with the involvement and consent of a parent or guardian. By creating an account, you represent and warrant that:
- You have the legal capacity to enter into this agreement
- All information provided is accurate and current
- You will maintain the security of your account credentials
- You will promptly update account information as needed
4. PAYMENT TERMS AND BILLING
Our Service operates on a credit-based system. By purchasing translation credits, you agree to:
- Pay all fees associated with your selected plan
- Provide accurate billing information
- Accept that all sales are final unless otherwise specified
- Acknowledge that unused credits may expire according to our usage policy
Refund Policy: Refunds are provided at our sole discretion and typically only for technical issues preventing service use within 30 days of purchase.
5. ACCEPTABLE USE POLICY
You agree NOT to use the Service for:
- Illegal activities or content that violates applicable laws
- Harassing, threatening, or harmful communications
- Distributing malware, viruses, or malicious code
- Attempting to reverse engineer or circumvent our systems
- Creating content that infringes intellectual property rights
- Generating misleading, false, or defamatory content
- Commercial use outside of educational contexts without prior written consent
6. INTELLECTUAL PROPERTY RIGHTS
The Service, including all software, algorithms, user interfaces, and content, is owned by Translate The Teacher and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended educational purposes.
Voice Cloning: By using our voice cloning feature, you grant us a limited license to process and store your voice data solely for providing the requested services.
7. PRIVACY AND DATA PROTECTION
Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and protect your information. By using our Service, you consent to our data practices as described in the Privacy Policy.
8. CONTENT AND USER SUBMISSIONS
You retain ownership of content you submit to our Service. However, by submitting content, you grant us a worldwide, royalty-free license to use, process, and store such content solely for providing and improving our services.
9. SERVICE AVAILABILITY AND MODIFICATIONS
We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to:
- Modify, suspend, or discontinue any aspect of the Service
- Update these Terms with reasonable notice
- Implement maintenance and upgrades as needed
10. ACCOUNT TERMINATION
Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination:
- Your access to the Service will cease
- Unused credits may be forfeited
- We may delete your account data after a reasonable period
11. DISCLAIMERS AND WARRANTIES
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, secure, or continuously available. Translation accuracy may vary and should not be relied upon for critical communications.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages resulting from third-party actions
- Translation errors or misunderstandings
13. INDEMNIFICATION
You agree to indemnify and hold harmless Translate The Teacher, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your infringement of third-party rights
- Content you submit or generate using our Service
14. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
15. BINDING ARBITRATION
🚨 MANDATORY ARBITRATION CLAUSE
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Agreement to Arbitrate: You and Translate The Teacher agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through final and binding arbitration, rather than in court.
Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in San Francisco, California, or another location we mutually agree upon.
Arbitrator Authority: The arbitrator will have the authority to grant any remedy that would be available in court, including monetary damages and equitable relief. The arbitrator's decision will be final and binding.
Costs: Each party will bear their own costs and attorney's fees, unless the arbitrator awards such costs to the prevailing party. We will pay AAA filing and arbitrator fees for claims under $10,000.
Exception: Either party may seek relief in small claims court for disputes within that court's jurisdiction, and either party may seek injunctive relief to protect intellectual property rights.
16. CLASS ACTION WAIVER
🚨 CLASS ACTION WAIVER
YOU AND TRANSLATE THE TEACHER AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR GROUP PROCEEDING.
This means:
- You cannot participate in a class action lawsuit against us
- You cannot seek to represent other users in any legal proceeding
- Multiple individual claims cannot be consolidated into a single proceeding
- Claims cannot be brought on behalf of the general public
If this class action waiver is found to be unenforceable, then the arbitration clause above will not apply to you, and any claims must be brought in a court of competent jurisdiction in San Francisco, California.
17. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.
18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Translate The Teacher regarding the Service. These Terms supersede all prior agreements and understandings.
19. MODIFICATIONS TO TERMS
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
